Job Overview
We are seeking a highly organized, proactive, conscientious, and tech-forward Commercial Real Estate and Transactional Paralegal (or experienced Legal Assistant) with a kind and pleasant disposition and an outgoing personality to take full ownership of transactional matters from initial intake through closing. The ideal candidate is high-EQ, detail-oriented, self-motivated, and eager to leverage modern workflows and AI tools to drive efficiency.
Core Responsibilities
Commercial Real Estate & Transactions
- Closing Coordination: Lead commercial real estate and business transactions from initial due diligence through closing and post-closing.
- Diligence & Tracking: Draft and manage closing checklists, critical-date trackers, title commitments, surveys, environmental/zoning reports, lien searches, and UCC searches.
- Document Drafting: Draft, revise, redline, and proofread routine closing documents, contracts and agreements under attorney supervision.
- Execution & Closing Sets: Coordinate document execution, review closing sets for accuracy, and assemble final closing binders.
Corporate & Entity Management
- Entity Lifecycle: Oversee the formation, qualification, maintenance, and dissolution of corporations, LLCs, and partnerships.
- Corporate Governance: Draft organizational consents, resolutions, annual reports, and maintain corporate record books and ownership charts.
- Filings: Oversee state and federal filings, fictitious-name registrations, UCC filings, and registered-agent matters.
Matter Management & Client Service
- Communication: Serve as a primary, professional point of contact for clients, lenders, title companies, brokers, and opposing counsel.
- File & Workflow Management: Maintain impeccably organized digital files and keep attorneys informed of critical deadlines and potential bottlenecks.
- Legal Tech: Assist with integrating AI-assisted legal tools and modern software to optimize document preparation and workflows.
Key Qualifications
- Experience: 3+ years as a commercial real estate, corporate, or transactional Paralegal/Legal Assistant.
- Technical Knowledge: Solid understanding of title/survey review, due diligence tracking, entity formation, and corporate filings. Experience with Florida public records is a plus.
- Skills: Exceptional verbal and written communication, proofreading, redlining, and deadline-management abilities.
- Technology: Tech-curious with a strong interest in incorporating modern legal tech and AI workflows into daily operations.
- Traits: Accountable, adaptable, emotionally intelligent, and able to manage competing priorities with minimal supervision.
Position Specifics
- Schedule: Full-time, 40 hours per week, Monday through Friday.
- Location: In-office position in downtown Winter Park, Florida 32789.
- Experience: At least three years of relevant commercial, real estate, corporate, transactional paralegal, or legal assistant experience required.
- Compensation: $65,000 to $85,000 annually, commensurate with commercial real estate, corporate, transactional, legal-technology, and AI experience.
