Description
KKC Law is seeking a Business Paralegal to work in their East of the river firm.The successful candidate will be able to support attorneys in a broad range of transactional, corporate, commercial real estate, financing, and business succession matters. The candidate will have strong organizational skills, pay close attention to detail, have the ability to manage multiple projects simultaneously, and be able to communicate professionally with clients, coworkers and other professionals.
Primary Responsibilities
- Prepare annual shareholder and director meeting minutes and written consents.
- Maintain corporate records books and entity records.
- Draft corporate resolutions and organizational documents.
- Prepare and file documents with the Connecticut Secretary of the State.
- Coordinate entity formations, amendments, dissolutions, and withdrawals.
- Assist attorneys with business purchase and sale transactions and business reorganizations.
- Prepare closing checklists, closing documents, and post-closing deliverables.
- Coordinate transaction closings.
- Organize and maintain due diligence materials and transaction files.
- Prepare closing binders.
- Draft and revise contracts and business agreements.
- Review contracts, leases, and related commercial documents.
- Assist with commercial real estate acquisitions, sales, leasing, and financing transactions.
- Coordinate with title companies, lenders, surveyors, and municipalities.
- Assist in drafting business succession planning documents.
- Assist in documenting commercial loan transactions.
- Coordinate closings with banks, borrowers, lenders, and title companies.
- Prepare financing and closing packages.
Client Communication and Project Management
- Communicate directly with clients regarding business and transactional matters.
- Field and assist with prospective client inquiries.
- Track deadlines and maintain transaction calendars.
- Manage multiple matters simultaneously while maintaining accuracy and attention to detail.
- Maintain organized electronic and physical files.
Qualifications
Preferred Experience
The experience below is preferred; any combination of experience and education will be evaluated. Willing to train the right candidate.
- Experience preferred in corporate/business law, commercial real estate, transactional law, estate planning, or commercial finance. Excellent organizational and time-management skills.
- Strong written and verbal communication skills.
- Ability to work independently and as part of a team.
- Proficiency with Microsoft Office and document management systems.
Education and Additional Preferred Qualifications
- Paralegal certificate, associate's degree, bachelor's degree, or equivalent experience or combination of the above is preferred.
- Strong willingness to learn and grow in a sophisticated transactional practice.
