The company is actively engaged in joint development, commercial collaborations (involving in-licensing of technology), and strategic acquisition of technologies. Due to continued growth and strategic expansion, the company has an immediate opening in its Houston office for a talented and motivated Attorney with 3 – 5 years of experience. The successful candidate will have experience in drafting and negotiating joint development agreements, specialized technology licenses, and/or M&A agreements. This is a unique opportunity for a law firm associate to transition in-house or for an in-house attorney to take on a more strategic role in a company.

Key Responsibilities
- Draft and negotiate joint development agreements, commercial cooperation agreements, and technology licenses
- Draft and negotiate share purchase agreements and asset purchase agreements
- Review and advise on investment-related agreements, including stock purchase, voting, and investor rights agreements of investment targets
- Provide reliable legal leadership to a business team focused on joint development, commercial cooperation, and M&A activities
- Lead the development of frameworks for intellectual property (IP) ownership, IP grants, risk mitigation, and governance to support strategic transactions
- Conduct legal due diligence, with a focus on IP and commercial risk, for strategic transactions
- As needed, collaborate with and manage external counsel while ensuring cost-effective legal support
- Develop a deep understanding of the company’s technologies, relevant agreements regarding the same, and strategic goals for technology development/expansion
Requirements
- Juris Doctor (JD) from an accredited law school
- 3–5 years of relevant legal experience, preferably in M&A, IP transactions, or corporate law
- Strong understanding of IP law and its application in commercial contexts is advantageous
- Excellent drafting, negotiation, and analytical skills
- Proactive and detail-focused professional capable of working independently in a dynamic, fast-paced environment with shifting priorities and competing demands
- Proficiency in Microsoft Office Suite and standard corporate software tools
