Consultant, Fund Governance & Regulatory Compliance
Job Summary
As a Consultant, you'll be a day-to-day partner to investment fund clients, supporting regulatory filings, fund Board meetings, and governance deliverables under the Investment Company Act of 1940 (the '40 Act).
This is a hands-on, client-facing role. The successful individual will manage high-impact work tied to '40 Act filings, board materials, and compliance testing, working directly with clients while collaborating closely with legal and compliance experts.
Key Responsibilities
- Prepare regulatory filings under the Investment Company Act of 1940, including Forms N-1A, N-PX, and Schedule 14C
- Support fund Board governance, including preparation and distribution of agendas, minutes, resolutions, and notices
- Manage board meeting logistics, calendars, and governance documentation
- Serve as a primary client-facing contact for board governance, regulatory administration, and compliance matters
- Participate in compliance testing, audits, and regulatory reviews
- Maintain regulatory calendars, responsibility matrices, and supporting documentation
- Assist with client and product initiatives, including regulatory analysis and solution design
- A college or university degree in Business Administration, Finance, Economics, Accounting, or a related field, and/or relevant proven work experience is preferred
- Prior experience as a paralegal in a financial institution a plus
- Hands-on experience with the Investment Company Act of 1940
- Direct experience preparing regulatory filings, including Form N-1A (N-PX and Schedule 14C preferred)
- Proven experience supporting fund Board governance, including agendas, minutes, and resolutions
- Experience with compliance testing, audits, and regulatory administration
- Proven experience with client-facing written and verbal communication skills
- Strong attention to detail with the ability to manage multiple timelines and deliverables
$66,700 - 113,300 USD
Salary range is a good faith estimate of base pay. Northern Trust provides a comprehensive benefits package including retirement benefits (401k and pension), health and welfare benefits (medical, dental, vision, spending accounts and disability), paid time off, parental and caregiver leave, life & accident insurance, and other voluntary and well-being benefits. Northern Trust also provides a discretionary bonus program that may include an equity component.
